Terms of Service

Eligibility

You must be at least 18 years old and a licensed healthcare professional authorized to provide home health services in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept all responsibility for activity that occurs under your account
• Notify us immediately of any unauthorized access or security breach

You are responsible for all activities conducted through your account, whether or not authorized by you.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or professional standards
• Violate HIPAA or other healthcare privacy laws
• Use the Service to transmit spam, unsolicited messages, or marketing communications
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems or software to extract data from the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with unauthorized individuals

Professional Responsibilities

The Service is a scheduling and logistics tool only. You acknowledge and agree that:

• You are solely responsible for all patient care decisions and clinical judgments
• The Service does not provide medical advice or clinical guidance
• You must comply with all applicable professional licensing requirements
• You must maintain appropriate professional liability insurance
• Travel time estimates are approximate and may vary due to traffic and road conditions
• You are responsible for verifying all appointment information before providing services

HIPAA and Data Protection

We function as a Business Associate under HIPAA and will execute a Business Associate Agreement (BAA) with covered entities as required. You agree to:

• Use the Service in compliance with HIPAA and other applicable privacy laws
• Minimize the collection and storage of Protected Health Information (PHI)
• Use patient pseudonyms and minimal identifying information where possible
• Obtain appropriate patient consent for SMS communications
• Report any suspected data breaches to us immediately

Payment Terms

During our beta period, the Service is provided free of charge. We reserve the right to introduce paid subscription plans in the future. If we do so, we will provide advance notice and you will have the option to accept the new terms or discontinue use of the Service.

Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Spruce Ridge Partners and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

You retain ownership of all data you input into the Service. By using the Service, you grant us a license to process and store your data as necessary to provide the Service.

Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted access. We may:

• Temporarily suspend the Service for maintenance or updates
• Modify or discontinue features with reasonable notice
• Limit access to certain features based on usage tier

We will make reasonable efforts to notify you of planned maintenance and significant changes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRUCE RIDGE PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Spruce Ridge Partners, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your provision of patient care or professional services
• Any claim related to your professional practice or patient relationships

Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment (if applicable)
• Inactivity for an extended period

Upon termination, your right to use the Service will immediately cease. We will provide you with a reasonable opportunity to export your data before permanent deletion.

Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Spruce Ridge Partners regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
